Airgas By-Law Amendment Overturned

A decision by the Delaware Supreme Court invalidated an Air Products-proposed amendment to Airgas by-laws that would have moved the company’s next annual meeting of stockholders up to January 18, 2011, only 4 months after the 2010 annual meeting. This was a reversal of an October decision by the Delaware Chancery Court upholding the amendment. The Supreme Court cited “historical evidence” and “case law” to support an interpretation of Airgas’ charter to disallow the shortening of directors’ terms by moving up the election. This latest ruling cannot be overturned.

In reaction to the Delaware Supreme Court decision, Airgas CEO Peter McCausland said in a statement on November 23, “We appreciate the Supreme Court’s careful consideration of this matter and believe that today is a victory for Airgas stockholders. The Supreme Court’s ruling maintains the balance of bargaining power that Delaware companies with staggered boards have always expected.”

Air Products released the following statement on November 23 regarding the decision: “We are disappointed that the Delaware Supreme Court has overturned the by-law approved by Airgas shareholders.” On November 30, Air Products extended its tender offer of $65.50 per share to Airgas shareholders until midnight on December 17. According to an Air Products statement, “As of the close of business on Monday, November 29, 2010, approximately 1,879,967 shares of Airgas common stock had been validly tendered into and not withdrawn from the offer.” This number translates to roughly 2.2 percent of the 84.07 million shares outstanding.

Servomex Acquires Delta F (Sugar Land, TX) • Servomex acquired the Delta F Corporation, located in Boston, MA, a manufacturer of trace and ultra trace oxygen and moisture analyzers based on Coulometric and Tunable Diode Laser (TDLAS) technology. Says Chris Cottrell, managing director at Servomex, “Delta F’s products and technologies are a perfect complement to Servomex’s range of process gas analysis solutions and will further extend our measurement capabilities.”

He will work closely with distributors to determine their needs and grow sales. Chris Malone was named national sales manager. In this position, he will be responsible for the distributor and direct sales channels in the domestic market. He will work actively in the field to support regional sales managers through the coaching and development of technical sales representatives.

Culver brings with him over 25 years experience in sales and sales management, including several years in the gases and welding industry. Linde Plant Tagged For Sustainability (Murray Hill, NJ) • Linde’s Altamont, CA, biofuel plant was awarded a 2010 California Governor’s Environmental and Economic Leadership Award for the category of Sustainable Facility. The plant produces liquid natural gas from landfill gas and produces up to 13,000 gallons daily of near zero carbon fuel. The award recognizes Linde’s leadership in conserving California’s natural resources, protecting and enhancing the environment and strengthening the state’s economy. "Receiving the Governor’s award confirms that our fully local ‘wells to wheels’ solution has hit the ball out of the park for the residents of California,” says Pat Murphy, president, Linde North America.

Wittke Leads Image of Welding (Cleveland, OH) • The American Welding Society and WEMCO appointed Lincoln Electric’s Director of Marketing Phillip Wittke to serve as chair of the Image of Welding Committee. Wittke will drive industry efforts to raise the profile of welding as a career and communicate the opportunities that exist to potential welders. “There are a myriad of issues affecting the availability of skilled workers in the welding industry,” says Wittke. “Baby boomers are aging, displaced workers need retraining opportunities and Generation Y is looking for cool, technology-driven career choices.”

New Hires At Noble (Albany, NY) • Noble Gas Solutions, formerly AWESCO, hired Wayne Geraci as safety and compliance manager to develop and implement safety policies and programs at Noble and to oversee DOT, OSHA and FDA compliance. Geraci received his OSHA outreach trainer certification from Rochester Institute of Technology and is a certified American National Standards Institute (ANSI) 9001 auditor. Matt White was hired as regional manager, and will assume responsibility for Noble’s storefronts with a focus on the lower Hudson Valley region. White is a veteran of Iraq and Afghanistan, having served as communications/electronics officer in the Army for 4 years.

Sales Award Goes To ILMO (Jacksonville, IL) • ILMO Products Company received an award for Outstanding Sales Performance in the previous sales year from ESAB Welding & Cutting Products, of Florence, SC. ILMO President Brad Floreth and VP Sales Anthony McLaughlin accepted the award, which was presented at ILMO’s Jacksonville, IL, headquarters.

Praxair Opens Indiana Plant (Danbury, CT) • Praxair launched a new hydrogen facility in Whiting, IN, which will supply a local fuel refinery. The operation’s two steam methane reformers have a total capacity of 200 million scf per day. The hydrogen will be used to produce ultra-low-sulfur gasoline and diesel fuels.

California Regional Gives Back

California Regional Gives Back • The Lodi, CA, regional meeting was held on November 19 at Lodi’s Lockeford Springs Golf Course. Together, the meeting’s 54 attendees raised an astounding $1,550 for GAWDA Gives Back through a raffle of donated prizes. Curt Rocha, regional sales manager at ESAB, was the winner of the raffle’s coveted 42” LCD TV, donated by Smith Equipment District Manager Alan Lindgren. Attendees enjoyed a day of networking, golf and Western-style BBQ. “The most amazing part of this year’s event was how much our local members gave to people in need,” says regional chair Rob Kinney, territory manager at Praxair.
